1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of PropDesk, including our mobile application, website, and related services (collectively, the "Service").
By creating an account, joining a workspace, accessing, or using PropDesk, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.
2. About PropDesk
PropDesk is operated by Mehrshad Ghasemi, a sole proprietor based in Toronto, Ontario, Canada ("we," "us," "PropDesk"). The Service includes the mobile app, website, and related tools for managing rental properties, tenants, leases, documents, inspections, maintenance, and similar workflows.
3. Eligibility
You must be at least 18 years old and legally able to enter into a binding agreement to use the Service. You represent that you have authority to bind any workspace or organization you register on behalf of.
4. Your Account
You are responsible for:
- Maintaining the confidentiality of your credentials
- Ensuring only authorized users access your account or workspace
- All activity performed through your account
- Promptly notifying us of suspected unauthorized access
- Providing accurate, current information at sign-up and keeping it up to date
We may refuse, suspend, or terminate accounts at our discretion where permitted by law.
5. Workspace Data and Tenant Information
You retain ownership of the data, files, and content you upload to PropDesk. You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display that content solely as needed to operate, secure, and improve the Service.
Tenant, vendor, and third-party data
PropDesk allows you to store personal information about people who may not be users of the Service (tenants, vendors, contractors, contacts). You represent and warrant that:
- You have a lawful basis to collect and upload that information (for example, a lease contract, a legitimate interest, or consent)
- You comply with all applicable privacy, landlord-tenant, and fair-housing laws in your jurisdiction
- You will respond to data subject requests (access, correction, deletion) from those individuals
For that data, you act as the data controller and PropDesk acts as the data processor. See our Privacy Policy for details.
6. Acceptable Use
You agree not to:
- Use the Service for unlawful, fraudulent, or deceptive purposes
- Harass, intimidate, or violate the rights of any person, including tenants
- Attempt to gain unauthorized access to any account, workspace, file, or system
- Interfere with, disrupt, or circumvent the Service, bypass security, or probe for vulnerabilities (except under a formal security-disclosure policy)
- Upload malicious code, malware, or harmful content
- Scrape, reverse-engineer, or replicate the Service to build a competing product
- Use the Service to violate landlord-tenant, fair-housing, or anti-discrimination law
- Send unsolicited marketing or spam through any communication feature
We may remove content or suspend accounts that violate these rules.
7. Security and Access Controls
PropDesk uses authentication, role-based permissions, session management, rate limiting, logging, and other security controls. No online service can guarantee absolute security. You are responsible for using the Service in a secure and lawful manner and for protecting your device and credentials.
8. Billing and Subscriptions
Some features require a paid subscription. Pricing, plan limits, trial periods, and access restrictions are shown at sign-up and may change with reasonable notice. By starting a paid plan, you authorize us (via Stripe) to charge your payment method on a recurring basis until cancellation.
- Automatic renewal — subscriptions renew automatically until you cancel
- Cancellation — you can cancel anytime in Settings; cancellation takes effect at the end of the current billing period, and you retain access until then
- Taxes — you are responsible for any applicable sales tax, VAT, GST/HST, or similar charges, unless explicitly stated
- Failed payment — if a charge fails, we may restrict access or downgrade your workspace until payment resolves
- Price changes — we will give reasonable advance notice of any price change; continued use after the effective date constitutes acceptance
9. Free Trials
We may offer free trials. Trials end automatically. If you have added a payment method, paid billing starts at the end of the trial unless you cancel first.
10. Refunds
All subscription fees are non-refundable once paid, except where required by applicable law. This includes (without limitation) statutory cooling-off and consumer-guarantee rights for consumers in the European Union, the United Kingdom, Australia, and any other jurisdiction whose mandatory consumer-protection laws apply to you. Those rights cannot be waived by this agreement.
If you believe a charge was made in error, contact us at the email listed in Section 26 within 30 days of the charge and we will review in good faith. We may also, at our sole discretion, grant service credits for feature changes, downgrades, or short service outages.
11. Third-Party Services
The Service integrates with third-party providers (for example Stripe for payments, Twilio and Resend for messaging, Google for sign-in, Apple and Google for app distribution). Your use of those services is also governed by their own terms. We are not responsible for their availability, performance, or practices.
12. Intellectual Property
We retain all rights to the Service, including the name "PropDesk," our logos, code, designs, copy, and documentation. You retain all rights to your content. You grant us a license only for Service operation as described in Section 5.
13. Feedback
If you send us ideas, suggestions, or feedback, you grant us a perpetual, irrevocable, royalty-free license to use them without compensation or attribution.
14. Copyright Complaints
We respect intellectual-property rights. Canadian users: we follow Canada's "Notice and Notice" regime under the Copyright Act. United States users: we comply with the Digital Millennium Copyright Act (DMCA) safe-harbour procedure.
To report infringing content, email [email protected] (subject: "Copyright Complaint") with:
- Identification of the copyrighted work
- The location of the allegedly infringing material within PropDesk
- Your contact information
- A good-faith statement that use is not authorized and that your notice is accurate
- Your signature (electronic is fine)
We may terminate accounts of repeat infringers.
15. Availability
We may modify, suspend, or discontinue any part of the Service at any time. We will try to give reasonable notice for material discontinuations. Maintenance, provider outages, and security actions may affect availability. We do not guarantee uninterrupted access.
16. Termination
You can terminate your account at any time by deleting it in Settings. We may suspend or terminate accounts that violate these Terms, pose security or legal risk, or fail to pay. On termination:
- Your access to the Service ends
- Your data is retained or deleted per our Privacy Policy's retention schedule
- Provisions that by their nature survive (intellectual property, liability, indemnity, governing law, dispute resolution, and these general terms) remain in effect
17. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," TO THE MAXIMUM EXTENT PERMITTED BY LAW, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.
PropDesk is a management tool. It is not a substitute for legal, financial, tax, or insurance advice. You are responsible for compliance with landlord-tenant law and other regulations that apply to your property operations.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, REVENUE, PROFITS, BUSINESS, OR GOODWILL.
OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) CAD $100.
These limits apply whether the claim is in contract, tort, statute, or any other theory. They do not apply to liability that cannot be excluded or limited under Ontario law.
19. Indemnification
You agree to defend, indemnify, and hold harmless PropDesk, its operator, and anyone working with us from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from:
- Your violation of these Terms or any applicable law
- Your content, workspace data, or tenant/vendor data you upload
- Your use of the Service
- Any misrepresentation you make to us
20. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles.
21. Dispute Resolution
Before formal legal action, we agree to try to resolve any dispute informally. Email us at [email protected] with a description of the issue, and we will work in good faith to resolve it within a reasonable period.
If the dispute is not resolved, it will be heard exclusively in the courts of the Province of Ontario, Canada, and you consent to personal jurisdiction there. Nothing in this section prevents either party from seeking injunctive or equitable relief to protect intellectual property or confidential information.
Where you live in a jurisdiction whose consumer-protection laws give you a mandatory right to sue locally or bring a claim in your home forum, this section does not override that right.
22. Export Controls and Sanctions
You represent that you are not located in, ordinarily resident in, or acting on behalf of any country or entity subject to Canadian, United States, United Kingdom, or European Union sanctions, and that you will not use the Service in violation of export-control laws.
23. Force Majeure
We are not liable for delays or failures caused by events beyond reasonable control, including natural disasters, pandemic, war, civil unrest, labour disputes, power or internet outages, government action, and failures of third-party service providers.
24. Changes to These Terms
We may update these Terms from time to time. Material changes trigger notice (in-app or email) and an updated "Last updated" date. Continued use after the effective date constitutes acceptance of the updated Terms. If you do not agree, stop using the Service and cancel your account.
25. General Provisions
- Entire agreement — these Terms and the Privacy Policy are the complete agreement about the Service
- Severability — if any provision is unenforceable, the rest stays in effect
- No waiver — our failure to enforce a right is not a waiver of it
- Assignment — you cannot assign these Terms without our consent; we may assign them in connection with a merger, sale, or reorganization
- Notice — legal notice to us goes to the contact email below; notice to you is sent to the email on your account
- No third-party beneficiaries — nothing in these Terms creates rights for non-parties
- Independent contractors — no partnership, agency, or employment relationship is created
- Language — these Terms are drafted in English; translations are provided for convenience and the English version controls in case of conflict
